Digi-Hub — Terms & Conditions

(Standard & Pro Subscriptions)

This page sets out the terms and conditions on which DLT Media (UK) Ltd (“DLT”, “we”, “us”) supplies Digi-Hub subscriptions to the client (“You”). By ordering Digi-Hub, You agree to be bound by these Terms & Conditions.

  1. INFORMATION ABOUT US

1.1 Digi-Hub is operated by DLT Media (UK) Ltd.
1.2 Registered in England and Wales (Company No. 4266636).

1.3 VAT Registration Number: GB788618759.

  1. YOUR STATUS

2.1 By placing an order, You confirm that You are legally entitled to enter into binding contracts on behalf of your business.

  1. CONTRACT FORMATION

3.1 All orders are subject to acceptance by DLT.
3.2 Your order constitutes an offer to purchase one or more Digi-Hub subscriptions.
3.3 A binding contract (“Contract”) is formed when DLT issues a written subscription confirmation (“Subscription Confirmation”).
3.4 The Contract relates solely to the subscription(s) confirmed.

  1. DIGI-HUB SUBSCRIPTION TYPES

4.1 Digi-Hub Standard — Principal Supply

4.1.1 Digi-Hub Standard provides a subscription licence granting access to a curated selection of digital magazines and newspapers supplied by third-party publishers.
4.1.2 Access to digital magazines and newspapers constitutes the principal supply under this Contract.
4.1.3 Publications are updated in line with publisher release schedules.

4.1.4 Digi-Hub Standard may also include limited supplementary content (such as puzzles, crosswords, games or audio content), which is provided on an ancillary and complementary basis only, is not separately chargeable, and does not constitute the primary purpose of the subscription.

4.2 Digi-Hub Pro — Optional Add-On Services

4.2.1 Digi-Hub Pro is an optional add-on to Digi-Hub Standard and cannot be purchased independently.

4.2.2 Digi-Hub Pro provides additional management and configuration functionality, which includes:

  • access to a management interface;
  • the ability to upload and display venue-specific content (e.g. room directories, menus, guest information);
  • branding, styling and colour customisation.

4.2.3 Digi-Hub Pro functionality constitutes a separate supply of digital services, distinct from the supply of digital magazines and newspapers.

4.2.4 Digi-Hub Pro does not alter the nature of the principal supply under Digi-Hub Standard.

  1. ACCESS AND DELIVERY

5.1 Access to Digi-Hub is provided via standard internet browsers.
5.2 Access is restricted to the venue’s static IP address, GPS location, or NFC identifier, ensuring content is available only to guests present at the venue.
5.3 Where multiple venues are subscribed, separate access controls may be required for each location.

  1. PRICING AND PAYMENT

6.1 The charges payable for Digi-Hub subscriptions shall be as set out in the applicable quote and/or Subscription Confirmation issued by DLT and accepted by You.

6.2 Digi-Hub Standard
The supply of Digi-Hub Standard constitutes a subscription licence to access digital magazines and newspapers. Insofar as the subscription relates to the supply of digital magazines and newspapers, it is treated as zero-rated for VAT purposes, in accordance with UK VAT legislation in force at the relevant time.

6.3 Digi-Hub Pro
Where selected, Digi-Hub Pro is supplied as an optional add-on to Digi-Hub Standard and constitutes a separate supply of digital management, configuration and branding services.
Charges attributable to Digi-Hub Pro are standard-rated for VAT purposes at the rate applicable at the time of supply.

6.4 All charges are exclusive of VAT unless expressly stated otherwise in the Subscription Confirmation.

6.5 DLT reserves the right to suspend access to Digi-Hub where any payment remains outstanding.

6.6 Late payments may attract interest in accordance with the Late Payment of Commercial Debts (Interest) Act 1998.

6.7 If the VAT treatment of any part of the supply changes as a result of changes in law, HMRC guidance, or a ruling by a competent authority, DLT reserves the right to apply the revised VAT treatment to future invoices.

  1. SUBSCRIPTION TERM

7.1 Subscriptions are for a minimum term of one (1) months unless otherwise stated.
7.2 Subscriptions commence on the activation date and may be charged pro-rata for partial months.

  1. RENEWALS AND TERMINATION

8.1 Following the minimum term, subscriptions continue on a rolling 30-day basis unless terminated with 30 days’ written notice.
8.2 No refunds are payable once access has commenced.

  1. CONTENT VARIATION

9.1 DLT reserves the right to amend the selection of magazines and newspapers from time to time without prior notice.
9.2 DLT does not guarantee the continued availability of any specific publication.

  1. INTELLECTUAL PROPERTY

10.1 All intellectual property rights in magazines and newspapers remain with the respective publishers.
10.2 Venue-uploaded content remains the property of the venue.
10.3 Digi-Hub and DLT Media are registered trademarks of DLT Media (UK) Ltd.

  1. LIABILITY

11.1 DLT is not responsible for publisher decisions, publication schedules, or content withdrawal.
11.2 DLT will use reasonable endeavours to maintain availability but may suspend access for maintenance or technical reasons.
11.3 DLT’s total liability shall not exceed the subscription fees paid in respect of the relevant incident.

  1. CONFIDENTIALITY & DATA PROTECTION

12.1 Each party shall protect confidential information.
12.2 Personal data shall be processed in accordance with applicable data protection laws.

  1. GENERAL

13.1 Assignment, waiver, severability and entire agreement clauses apply as standard.
13.2 These Terms are governed by English law, with exclusive jurisdiction of the English courts.
